Terms and Conditions
These Terms and Conditions (the “Agreement”) establish the framework under which IT Monteur (referred to as “IT Monteur,” “IT Monteur Private Limited,” “we,” “us,” or “our”) grants access to and use of its Cybersecurity awareness training services (the “Service”). These services are accessible through https://itmonteur.net/ (the “Website” or “Mobile Application”) and are available to you, the user (“you” or “User”). For the purposes of this Agreement, “you” and “User” also encompass any organization or legal entity utilizing the Service on their network or systems (each an “Entity”).
If you are acting on behalf of an Entity, you affirm that you possess the requisite authority to bind the Entity to this Agreement. In such instances, “User” and “you” shall refer to both the individual user and the represented organization. By accepting this Agreement, executing a quote that references it, or using the Service, you enter into a legally binding contract with us. You confirm that you are of legal age and possess the competence and authority to do so. If you lack the necessary authority or disagree with these terms, you must refrain from using the Service. In cases where a separate Master Service Agreement has been fully executed with IT Monteur, such an agreement will take precedence over this Agreement.
THIS AGREEMENT INCLUDES A BINDING ARBITRATION CLAUSE, LIMITING CERTAIN CLAIMS FROM BEING BROUGHT IN COURT OR DECIDED BY A JURY. PLEASE REVIEW THIS DOCUMENT CAREFULLY.
Nature of the Cybersecurity Service
The Service is a proprietary, end-to-end Cybersecurity awareness platform provided as a software-as-a-service (SaaS) solution. It is accessible from both desktop and mobile devices and is designed to help employers train employees in security awareness (the “Specified Purpose”). The Free Plan includes access to a selection of Cybersecurity and compliance training videos, mandatory quizzes, a learning management system, progress tracking and notifications. The Paid Plan offers additional functionalities such as SCORM-compliant Cybersecurity videos, quizzes, info graphics, alerts and survey forms.
Registration Requirements
To access specific features of the Service, you may need to provide your first name, last name, job title, organization name, email address and create a password. If using the Service on behalf of an Entity, you may need to supply further details to verify your association with the Entity. User accounts must be assigned exclusively to individuals with business domain email addresses under your ownership or authorization. We reserve the right to request additional information.
You warrant that all provided registration information is accurate, current and complete. Any changes to registration details, including billing address or payment information, must be promptly communicated to IT Monteur during the Subscription Term. You are responsible for safeguarding your login credentials. Any unauthorized access must be reported immediately. IT Monteur may use registration details for marketing purposes.
Fees and Payment Terms
Direct Purchases
The Free Plan is available at no cost. Paid Plans grant access to premium features through subscription-based pricing, as specified on our Website or through a designated quote. Subscription fees apply for the stated period and may be subject to revision upon renewal, plan upgrades or add-on purchases. Subscription charges not covered by a quote will be billed per IT Monteur’s pricing structure.
Payments for subscriptions, renewals, upgrades or add-ons require a transfer to the provided IT Monteur bank account. Fees are non-refundable and non-cancellable. You agree that all payment-related details you provide are accurate and up-to-date. Failure to remit payment may result in suspension or termination of your account. IT Monteur retains the right to apply relevant taxes, for which you are responsible, except for taxes on IT Monteur’s income.
Channel Partner Purchases
If you acquire a subscription through an authorized reseller, distributor or managed service provider (a “Channel Partner”), all payment-related terms will be determined by the agreement between you and the Channel Partner. Such agreements do not impose obligations on IT Monteur.
Ownership and Intellectual Property Rights
The Service, including all components of IT Monteur’s platform and Website, remains the proprietary property of IT Monteur or its licensors. This encompasses software, algorithms, functionalities, inventions, concepts, text, images, audio, video content, trademarks, logos, files (including SCORM files) and other proprietary assets (“Our Property”).
You may not copy, modify, create derivative works from, distribute, transmit, deep-link, frame and reverse-engineer, disassemble or attempt to extract source code from Our Property. Unauthorized use or disclosure of Our Property for commercial gain constitutes a serious violation, subject to legal consequences, including injunctive relief and monetary damages. IT Monteur trademarks and logos may not be used without explicit authorization. Third-party trademarks displayed within the Service remain the property of their respective owners.
Subject to this Agreement, you are granted a non-exclusive, non-transferable, non-sub licensable and revocable right to access and use Our Property solely for the Specified Purpose during your Subscription Term. Resale, distribution or commercialization of Our Property is strictly prohibited.
Permitted Use and Restrictions
You are authorized to use the Service solely for the Specified Purpose. Some features or content within the Service may require acceptance of additional terms. Subscriptions are user-based, meaning each purchased account must be assigned to an individual employee. The reassignment of accounts between individuals is prohibited.
Unauthorized distribution, commercialization, or reselling of Service access is strictly forbidden. If your subscription permits offline use of IT Monteur content (“Offline Content”), you must adhere to this Agreement. Upon termination or expiration of your Subscription Term, you must delete or return all copies of Offline Content as per IT Monteur’s instructions.
Content Restrictions
You may access the Service for informational, instructional and non-commercial purposes only. Any other use is strictly prohibited and may result in legal consequences. Copying the design, layout, trademarks or elements of the Service without authorization is not permitted.
Additionally, you must not:
- Introduce viruses, malware or harmful code into the Service.
- Violate third-party rights, including intellectual property rights.
- Impersonate others or manipulate data for fraudulent purposes.
- Scrape, spider or otherwise extract data from the Service.
- Engage in unauthorized resale or redistribution of Service content.
User Content
Certain subscription plans allow you to upload content, including policies, guides, tutorials, videos and documents (“User Content”). You grant IT Monteur and its partners the right to use, reproduce, distribute and display User Content as necessary to provide the Service. You remain the owner of your User Content and are responsible for ensuring its compliance with this Agreement and applicable laws.
By uploading User Content, you represent and warrant that:
- You own or have the right to share the content.
- The content does not violate laws, infringe intellectual property rights or contain offensive, defamatory or unlawful material.
- The content does not contain malicious software or otherwise harm IT Monteur or its users.
You agree to indemnify IT Monteur against claims arising from User Content violations.
Feedback and Analytics
If you provide feedback regarding the Service, IT Monteur retains full ownership and may use it without obligation to compensate you. Additionally, we may use aggregated, de-identified data to enhance and develop our Service.
General Disclaimer
The service is provided on an “as is” basis, inclusive of all defects. We explicitly disclaim any and all warranties, whether express or implied, including but not limited to: (i) warranties of merchantability, fitness for a specific purpose, title, non-infringement and any warranties arising from trade usage or prior dealings; (ii) assurances that the service or any associated property will align with your expectations, remain continuously available, function without interruption, maintain security or be devoid of errors; and (iii) guarantees regarding the accuracy or reliability of any information obtained through the service, including third-party content.
The information made available on the service may contain technical inaccuracies or typographical errors. Updates and modifications may occur periodically without prior notification. IT Monteur and its licensors reserve the right to implement changes or enhancements to the service at any time. Furthermore, IT Monteur does not warrant any particular outcome resulting from users’ engagement with the service.
We may temporarily suspend or interrupt the service at our discretion, including for updates and maintenance. You acknowledge that the information provided through the service is strictly for general informational purposes and does not constitute legal counsel or professional advice. No interaction with us or the service establishes any additional warranty. IT Monteur expressly disclaims liability for any actions or omissions of service users or third parties.
Limitation of Liability
Under no circumstances shall you be entitled to claim from us any indirect, consequential, incidental, punitive or special damages—including but not limited to loss of business, revenue, data or usability—arising from or connected to this agreement, the service or any associated property, irrespective of whether liability is asserted under contract, tort (including negligence) or any other legal theory. Even if we have been advised of the potential for such damages, liability remains disclaimed.
To the maximum extent permitted by applicable law, our aggregate liability for any claims arising in connection with this agreement, the service or any related property shall be capped at the greater of (i) one hundred dollars ($100) or (ii) the total fees you have paid to IT Monteur under this agreement. Some jurisdictions do not permit certain exclusions or limitations of liability, so these restrictions may not apply to you in full.
Cloud Services and Third-Party Services
In addition to the disclaimers and limitations outlined above, you acknowledge that: (i) our Cybersecurity service operates using third-party cloud computing services (“Cloud Providers”); and (ii) we bear no responsibility for any acts, omissions or failures of such Cloud Providers. The Cybersecurity service may rely on or facilitate access to third-party services, content or websites (each a “Third-Party Service”), which may be governed by their own terms of use. Your utilization of any Third-Party Service may require acceptance of additional agreements. IT Monteur does not endorse nor assume liability for any Third-Party Services.
Indemnification
You agree to indemnify and hold harmless IT Monteur, along with our licensors, service providers and agents, from any claims, liabilities, losses, damages, expenses and legal fees arising from or related to your breach of this agreement or misuse of the service. However, this indemnification does not extend to liabilities caused by our negligence or willful misconduct. We retain the right to assume exclusive control of the defense and settlement of any indemnified claim, and you agree to cooperate fully with us in such matters.
Privacy Policy
Our Cybersecurity service is governed by the privacy policy available at IT Monteur Privacy Policy, which is incorporated into this agreement by reference. Both parties agree to adhere to the Privacy Policy.
Support Services
Standard support services are available solely to direct subscribers of our paid plans at no additional charge. We do not provide support for: (i) Cybersecurity solutions, hardware or software from third parties; (ii) issues resulting from user negligence, abuse or misapplication; or (iii) unauthorized use of the service. Support is not available to free-plan subscribers or customers who obtained service access through channel partners.
Subscription Term
This agreement becomes effective upon your acceptance via the “agree” button (“Effective Date”). Your initial subscription term will be as specified in your plan or quote. It will automatically renew for subsequent terms of the same duration at our then-current rates unless you notify us at least 30 days before the renewal date. To opt out of renewal, contact us at support@itmonteur.net.
Suspension and Termination
Suspension
We reserve the right to suspend your account or access to the Cybersecurity service under the following circumstances:
- Breach of this agreement, including non-payment
- Security risks posed by your access or usage
- Preventing potential damage to the service, our systems or third parties
- Legal or regulatory violations
- Suspected fraudulent activity
Efforts will be made to limit suspensions to the affected service portion and resolve issues promptly. This section does not limit our right to terminate this agreement.
Termination
For free subscriptions, you may terminate this agreement at any time by requesting account closure via email. We reserve the right to terminate free accounts at our discretion.
For paid subscriptions, unless terminated earlier per the terms herein, subscriptions remain active as per the agreement. We may terminate at any time with 30 days’ prior written notice. Either party may terminate if the other materially breaches this agreement and fails to remedy the breach within 30 days of notice or if the other party becomes insolvent or subject to bankruptcy proceedings.
Upon termination, you agree to cease using the service and any licenses or rights granted under this agreement will be revoked. IT Monteur is not responsible for any compensation or reimbursement unless the termination was for convenience, in which case you may receive a prorated refund for unused service.
Service Modifications and Agreement Amendments
We reserve the right to modify the Cybersecurity service at any time without notice. Future amendments to this agreement will be posted on our site or through the service platform. Continued use of the service constitutes acceptance of any modifications. If you do not agree to the revised terms, you must discontinue use and terminate your account.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed under this agreement. This obligation remains in effect for five years after termination of the agreement. Confidential information does not include publicly available or independently developed data. The recipient of confidential information must ensure its strict confidentiality and refrain from unauthorized disclosures.
Dispute Resolution and Arbitration
Any disputes arising from this agreement shall be resolved through arbitration. The arbitration venue shall not impose undue burdens on either party. This provision does not apply to intellectual property disputes. Claims cannot be brought on a class-action basis. If any portion of this clause is deemed invalid, the remainder shall remain enforceable.
Governing Law and Jurisdiction
This agreement is governed by Indian law. Disputes shall be resolved in Pune or Mumbai by a competent arbitrator.
Force Majeure
We are not liable for service disruptions due to unforeseeable events beyond our control, including but not limited to natural disasters, terrorism, government actions, internet failures or hacker intrusions.
Geographic Restrictions
The service is operated from India. Users outside India are responsible for ensuring compliance with their local laws.
Children’s Use Policy
The service is not intended for individuals under 13 years of age. IT Monteur does not knowingly collect personal data from children under 13. If you are under this age, you are prohibited from registering or providing personal information.
Impersonation Policy
Users must not impersonate individuals, organizations or entities by misrepresenting identity through names, images or credentials.
Miscellaneous Provisions
This agreement constitutes the entire understanding between you and IT Monteur, superseding all prior agreements. No waiver or modification is valid unless in writing. If any provision is deemed unenforceable, the remainder shall remain in effect. Assignment or transfer of rights under this agreement requires written consent. IT Monteur may assign rights to a business successor. Provisions related to confidentiality, liability limitations, indemnification and dispute resolution shall survive termination of the agreement.
By using the service, you acknowledge that you have read, understood and agreed to be bound by these terms.
